These Terms of Business cover (1) your use of https://hoitodigital.com and (2) the general basis on which Hoito Digital provides services. Project work is usually confirmed in a proposal or statement of work. Where that document and these terms differ on a project, the proposal or statement of work takes priority for that engagement.

• Content on this site is for general information about our services. It is not legal, financial, or professional advice beyond the services we expressly agree to provide.
• You must not misuse the site, attempt to disrupt it, or use it for unlawful purposes.
• We may update, pause, or withdraw site content without notice.
• Third-party links (including Cal.com booking) are provided for convenience. We are not responsible for third-party sites or their terms.

Sending an enquiry or booking a discovery call does not create a contract for paid services. A project starts when both parties agree scope, fees, and timing in writing (usually a proposal you accept).

You agree to:

• Have authority to enter into the engagement for yourself or your organisation.
• Provide content, feedback, and decisions in a timely way so we can meet agreed timescales.
• Ensure materials you supply are accurate and lawful to use.
• Pay invoices according to the agreed schedule.
• Work with us professionally and respectfully.

We agree to:

• Provide the services described in the agreed proposal with reasonable skill and care.
• Work to the timescales we agree, subject to timely inputs from you.
• Work with your team professionally and respectfully.

Estimates and timelines assume timely supply of assets, feedback, and approvals. Delays on your side may shift delivery dates and, where material, may affect fees. Out-of-scope requests will be quoted before we proceed.

Fees, payment schedule, and any expenses are set out in the proposal. Unless stated otherwise, invoices are due within 14 days. We may pause work if invoices remain unpaid after written notice.

Until invoices for the relevant work are paid in full, we retain ownership of materials we create. On full payment, you receive the rights described in the proposal (typically a licence or assignment for agreed deliverables). We retain the right to reuse generic methods, know-how, and non-client-specific components. We may show completed work in our portfolio unless we agree otherwise in writing.

Both parties will keep confidential information received from the other reasonably secure and use it only for the project, except where disclosure is required by law or the information is already public.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law. Subject to that, our total liability for a project is limited to the fees paid for that project in the 12 months before the claim. We are not liable for indirect or consequential loss, including lost profits or business opportunity, to the fullest extent permitted by law.

These terms are governed by the laws of Scotland. The courts of Scotland have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.
